John (Jack) R. Orrick, Jr. is a Partner and Chair of the Business Transactions Group of the firm. A former Chair of the Business Law Section of the Maryland State Bar Association, Mr. Orrick concentrates in general corporate law, with emphasis on business acquisitions and sales, business financings and other business transactions. He has represented numerous clients in public and private securities offerings and has extensive experience representing a wide variety of corporate and individual clients, including financial institutions, in diverse commercial transactions. Mr. Orrick also has represented clients in municipal bond offerings and other complex real estate financing transactions.

Mr. Orrick has lectured and written articles on a variety of deal structuring and financing issues, with particular emphasis on matters affecting the real estate industry and matters affecting emerging businesses.

Mr. Orrick's practice at the firm centers on general corporate matters, joint venture formations, business and tax planning and the representation of clients in securitized equity and debt financings.

Negotiation of employment agreements, incentive compensation agreements, covenants not to compete and employee invention agreements

Formation and on-going tax compliance advice to non-profit associations

Recapitalization and reorganization of business enterprises

Tax planning for ownership and transfer of real estate enterprises
